Business Law in Livingston: LLCs, corporations and getting paid

Business lawyers help owners pick the right entity, draft the agreements that keep partners aligned, and step in when a customer or vendor stops paying. For a company based in Livingston, the rules come from New Jersey statutes and the state's business filing office, and local lawsuits are often heard in Essex County. This page lists 5 attorneys and law firms in Livingston who handle business law matters, from LLC formation and corporate work to commercial debt recovery.

Setting up and keeping an entity in good standing

  • Formation. LLCs and corporations are formed by filing with the New Jersey Division of Revenue and Enterprise Services; the fee is $100 for for-profit entities. Tax and employer registration (Form NJ-REG) follows.
  • Governing law. LLCs are governed by the Revised Uniform Limited Liability Company Act, N.J.S.A. 42:2C-1 et seq.
  • Operating agreement. The Act recognizes agreements that are written, oral or implied. Where the agreement is silent, default rules apply; for example, an LLC is member-managed unless the agreement provides otherwise. A written agreement on ownership, voting and buyouts avoids disputes later.
  • Annual report. Every LLC must file an annual report listing its address, registered agent and managers or managing members. Reports are filed online with the Division.

Collecting money owed to your business

  • Small Claims. Claims of $5,000 or less.
  • Special Civil Part. Claims up to $20,000.
  • Law Division. Larger claims go to the Law Division of the Superior Court. Essex County civil cases are handled by the Essex Civil Division, 470 Martin Luther King Blvd., Newark.
  • Time limit. Contract claims generally must be brought within six years (N.J.S.A. 2A:14-1); claims on contracts for the sale of goods have a four-year limit (N.J.S.A. 12A:2-725).

Before suing, a lawyer can review the contract and invoices, send a demand letter and assess whether the debtor has assets to collect from.
