Business lawyers handle the legal machinery of running a company: choosing and forming an entity, shareholder and operating agreements, commercial contracts, employment documents, licensing, financing rounds, buying or selling a business, and the disputes that follow when a deal or a partnership breaks down.
The work divides roughly into transactional and litigation. Transactional counsel drafts and negotiates; business litigators handle breach of contract, partnership disputes, non-compete fights and creditor claims. Many firms do both, but the individual attorney usually leans one way.

Consideration is the value each side gives up to make an agreement binding — money, goods, services, or a promise to do or refrain from doing something. Without it, a promise is usually a gift and courts will not enforce it. It is what separates a contract from a favor.
Contract law governs agreements the courts will enforce. A contract needs an offer, acceptance, consideration — something of value exchanged — and parties with capacity and a lawful purpose. When one side fails to perform, contract law decides what the other side is owed.
Corporate law governs how companies are formed, financed, governed and dissolved, and the duties owed by those who run them. It covers entity choice, shareholder and director rights, mergers and acquisitions, corporate finance and securities compliance — the legal structure around a business rather than its day-to-day deals.
